Vice President & General Counsel

The Company

Our client is a well-established and very successful energy services company providing a variety of products and services to North American and international customers.

The Opportunity

Based in Calgary, the Vice President & General Counsel will play a key, senior advisory role to the Executive Board and Management Team of the Company on all legal issues, activities and matters to ensure that the company’s assets and interests are safeguarded and advanced within the established corporate risk parameters. The Vice President & General Counsel will be responsible for developing innovative legal strategies and solutions to meet the increasingly complex and diverse requirements as the company executes its growth strategy across a number of continents simultaneously.

The Vice President & General Counsel will also participate in commercial contract/deal structuring and negotiations and provide both strategic and operational leadership in the legal aspects of M&A due diligence processes, Financing/Banking arrangements (in collaboration with the Chief Financial Officer), and joint venture and/or partnership agreements. This individual will also establish, manage and optimize the required external legal support services in multiple, international jurisdictions.

A key area of accountability for this position will be the leadership and management of the in-house Legal team which provides a broad range of day-to-day legal services and support to all of the Company’s business units on a global level with respect to a wide range of legal issues and initiatives.

The Individual

The desired candidate profile will include the following skills, experience, credentials and personal attributes:

  • High degree of business and personal ethics and integrity; strong sense of engagement, collaboration and accountability.
  • LLB. designation; eligible for membership in the Alberta Bar
  • A minimum of 12 years of legal experience, several years of which has ideally been as in-house counsel in an Energy Services/Energy organization with international operations and assets. Public company experience would be an asset although not a requirement.
  • Strong corporate/commercial legal background with extensive experience in domestic and international joint venture and partnership agreements and contracts.
  • A ‘generalist’ exposure to other areas of law including: Corporate Governance, Mergers & Acquisitions, Litigation, Intellectual Property, Corporate Finance & Structuring, Employment & Immigration, Insurance, Corporate Secretarial, Tax.
  • Superb communication, interpersonal and leadership skills along with the ability to build long term, effective and synergistic working relationships across the enterprise both in North America and Internationally as well as with various external advisors, external legal services providers and other business entities.
  • Solid, broad negotiation experience and abilities in both domestic and international arenas.

Global Tax Manager

The Company

The Opportunity

Based in Calgary and reporting directly to the Vice President, Finance, the Global Manager of Tax is a newly-created, part-time position responsible for the overall management of the Tax function across multiple jurisdictions.

Key accountabilities and responsibilities:

  • Formulate and oversee implementation of tax-related policies and procedures that result in accurate tax reporting and ensure compliance with applicable regulations
  • Research and advise on proposed transactions and tax consequences
  • Oversee and mentor the tax team
  • Plan for and ensure the timely filing of all required tax returns and payments
  • Maintain up-to-date knowledge of tax-related federal and provincial/state legislative actions and advise management accordingly
  • Ensure compliance with federal, provincial, state, and other tax filings
  • Oversee international tax planning and manage external parties and tax experts
  • Manage the completion of all transfer pricing documentation concerning cross-border transactions both into and out of Canada
  • Review and analyze current and future transfer pricing strategies to help mitigate risk
  • Oversee and ensure compliance with state and local excise tax laws and regulations and timely completion and filing of excise tax returns
  • Create and manage processes to capture and qualify eligible R&D activities for SR&ED tax credit program

The Individual

The desired candidate profile will include the following skills, experience, credentials and personal attributes:

  • Bachelor’s degree in Commerce, Business or other related field preferred;
  • Professional accounting designation (CA, CMA, etc.) required;
  • Minimum of ten years of experience in the field of Canadian corporate taxation;
  • Successful completion of CICA in-depth Tax Course (Levels I,II, III);
  • Completion of the CICA International Tax Course would be an asset;
  • Strong technical capability and managerial experience in the area of taxation;
  • Experience working with joint ventures, partnerships, U.S. tax knowledge, although not specifically required, would be an asset.

The Opportunity

Our client has retained our Firm to identify an experienced, senior-level energy and business professional to join their organization in the high-impact role of Vice President, Business Development. This Calgary-based position is responsible for all business development activities related to the company’s processing facilities. The Vice President, Business Development will focus on the on-going development of a portfolio of business opportunities which will be evaluated, rationalized, prioritized and executed upon. This senior executive will also provide leadership and coaching to the members of the Business Development team which also includes all joint venture activities.

Key accountabilities and responsibilities:

  • Manage the Business Development group

Manager, Health & Safety

The Company

Our client is an intermediate exploration and production company operating in Western Canada.

The Opportunity

Reporting to the Director, Environment & Safety, the Manager, Health & Safety will be responsible for leading the company in Health & Safety strategies, systems, and standards to improve safety performance by continuously increasing a level of awareness of safety standards throughout the company

Key accountabilities and responsibilities:

  • Provide guidance and support to the Field Safety Coordinator and internal stakeholders through continuous coaching, feedback and, professional development and training
  • Monitor and assess site safety procedures and perform audits and provide feedback and recommendations for improvement
  • Provides leadership by advising and coaching stakeholders in the interpretation and application of safety legislation and safe work practices and procedures
  • Overall governance of the safety policies, procedures and practices
  • Promotes the company’s Health & Safety Management System (HSMS)
  • Collaborates with the Field Safety Coordinator to conduct field tours, inspections, training sessions, audits to enhance the HSMS and be accountable to encourage safe work behaviors / attitudes through an active field presence
  • Lead incident investigations relating to high severity or high potential incidents, and ensure that proper regulatory reporting is completed.
  • Facilitate investigations related to medium and low potential events
  • Communicate & respond to government agency requests on behalf of the company
  • Develop and report as weekly and as required
  • Participate in Monthly Safety Meetings
  • Organize, lead and participate safety stand down

The Individual

The preferred candidate profile would include the following skills, experience, credentials and personal attributes:

Education and Experience:

  • Recognized Post-Secondary education in Health & Safety and related designation would be an asset such as:
    • Canadian Registered Safety Professional (CRSP)
    • National Construction Safety Officer ( NCSO)
    • Construction Safety Supervisor (CSO)
  • Ten to 15 years of experience in Health &Safety Management
  • Extensive experience in designing and implementing safety and environmental programs
  • Proven track record in management and ability to plan and implement change
  • Knowledge of Workers Compensation Legislation
  • Previous experience in oil and gas
